The Uniform Limited Liability Company Act (ULLCA) was published in 1995 and revised in 2006. The 2006 revised version is called the “Revised Uniform Limited Liability Company Act.” The revised version was last amended in 2013. A copy of the Revised ULLCA can be found here.1

The ULLCA was drafted and adopted by the Uniform Law Commission (ULC), established in 1892, to provide U.S. states with model legislation that clarifies and standardizes various areas of statutory law. 

As of 2022, 20 states in the United States have enacted the ULLCA in whole or in part. 

The Revised ULLCA contains 11 articles:
